What is an LLP?

A Limited Liability Partnership is registered under the LLP Act, 2008 with the Ministry of Corporate Affairs. It is a separate legal entity, and each partner's liability is limited to their agreed contribution. After incorporation you receive a Certificate of Incorporation with a unique LLPIN. LLPs suit professionals, consultants, service businesses and startups.

Requirements

At least 2 partners (no maximum), all 18 years or older
At least 2 designated partners who are individuals, one of them resident in India (120+ days in the year)
DSC and DIN for all designated partners
Registered office in India
Not allowed for non-profit activities

Documents Required

PAN and ID / address proof of all partners, with photographs
DSC of designated partners
Registered office proof: utility bill, rent agreement and owner's NOC
LLP agreement and each partner's capital contribution details
Passport and apostilled address proof for foreign partners

Registration Process

Get Class 3 DSC for designated partners
Reserve the name through RUN-LLP (valid 3 months)
File Form FiLLiP with subscriber sheet and Form 9 consent
Receive the Certificate of Incorporation (LLPIN, PAN and TAN)
File the LLP Agreement in Form 3 within 30 days

Usually completed in 10–15 working days.

Annual Compliance

Late MCA filings attract ₹100 per day per form. Audit is mandatory if turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh.
