What is Startup Registration?

It is the process of legally setting up your new business as a Private Limited Company, OPC, LLP or Partnership Firm. Companies and LLPs register with the MCA; partnership firms register with the state Registrar of Firms.

Registration is different from Startup India (DPIIT) recognition, which is a separate free application you can make after incorporation to claim startup benefits.

Which Structure Should You Choose?

Eligibility

• Private Limited: minimum 2 directors and 2 shareholders
• OPC: 1 member, 1 nominee and 1 director
• LLP: minimum 2 designated partners
• Partnership: minimum 2 partners
• At least one resident director or designated partner
• Valid Indian registered office address
• No minimum capital required

Documents Required

• PAN and Aadhaar of all directors or partners
• Address proof (bank statement or utility bill, not older than 2 months)
• Passport size photo, email ID and mobile number
• Registered office proof: utility bill, plus rent agreement and owner NOC if rented
• Digital Signature Certificate (DSC) for each director or partner
• Passport and notarised or apostilled documents for foreign or NRI founders

How to Register – Step by Step

1. Choose your business structure.
2. Get a Class 3 DSC for each director or partner.
3. Reserve the name (SPICe+ Part A for a company, RUN-LLP for an LLP). An approved company name is held for 20 days.
4. Draft MoA/AoA, LLP agreement or partnership deed.
5. File SPICe+ Part B (company) or FiLLiP (LLP) on the MCA portal.
6. Receive the Certificate of Incorporation with CIN or LLPIN, and PAN and TAN.
7. Open a current account and apply for GST, Udyam or other licences if needed.

Costs depend on the number of founders and your state. Late annual filings attract ₹100 per day per form.
